These Terms of Service ("Terms") govern your use of the Gray Matter mobile application ("the App") developed by Matt L Smith ("we," "us," or "our"). By downloading, installing, or using the App, you agree to these Terms.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement.
2. Account Registration
To use the App, you must create an account using an email address and password or Apple Sign In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Acceptable Use
You agree not to use the App to:
- Record conversations without the consent of all parties where required by law
- Upload or process content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to other users' data or the App's infrastructure
- Reverse engineer, decompile, or disassemble the App
- Use the App in any way that violates applicable laws or regulations
4. Your Content
You retain ownership of all audio recordings, transcriptions, summaries, and other content you create through the App ("Your Content"). By using the App, you grant us a limited license to process Your Content solely to provide the App's features (transcription, summarization, speaker identification, and search).
We do not claim ownership of Your Content. We do not use Your Content to train AI models or for any purpose other than providing the App's functionality to you.
5. Third-Party AI Services
The App sends certain data to third-party AI services (OpenAI, Google Gemini, and Pyannote.ai) to provide its core features. By using the App, you consent to this data processing as described in our Privacy Policy. These services process data solely for the purpose of fulfilling your requests and do not use it to train their models.
6. Service Availability
We strive to keep the App available and functional, but we do not guarantee uninterrupted or error-free operation. The App depends on third-party services (Firebase, OpenAI, Google AI, Pyannote.ai, Supabase) that may experience downtime. We are not liable for interruptions caused by third-party service outages.
7. Fees and Payment
The App is currently free to download and use. If we introduce paid features in the future, we will notify you in advance. Any purchases will be processed through Apple's App Store and subject to Apple's payment terms.
8. Account Termination
You may delete your account at any time from within the App (Profile & Settings > Delete Account). This permanently deletes all your data as described in our Privacy Policy.
We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.
9. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, secure, or error-free, or that AI-generated transcriptions and summaries will be perfectly accurate.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of profits, or business interruption.
11. Indemnification
You agree to indemnify and hold harmless Matt L Smith from any claims, damages, or expenses arising from your use of the App or violation of these Terms.
12. Recording Laws
You are solely responsible for complying with all applicable laws regarding recording conversations, including one-party and two-party consent laws in your jurisdiction. We are not responsible for your compliance with these laws.
13. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Continued use of the App after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
